Terms of service

This is an Agreement (“Agreement”) between SBC Technology Inc., herein (“SBC”), having an office and place of business at WooShin Bld 16FL, #1607, 646-1 Yeoksam-dong, Gangnam-gu, Seoul, and the entity agreeing to the terms herein (“Participant”, “You”, “you” or “user”)

If You do not agree to all of these terms and conditions, You must not use or access the Service. If You are entering into this Agreement on behalf of a company, You represent that You have the authority to bind that company to the terms of this Agreement.

1. Warranty Disclaimer

SBC provides the software "as is" with defects. SBC AND ITS SUPPLIERS MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, We disclaim all warranties. SBC does not warrant that the Software will be free from bugs, errors or other defects.

2. Definition

1.1 The "Portal" product is a Google App Engine based web application. Available through the G Suite Apps Marketplace and installed only by organizations using G Suite.

1.2 "Users" can install Portal by G Suite account in an organization that installs and operates G Suite in the domain.

1.3 "G Suite" is a service provided by Google - "G Suite Basic", "G Suite for Business" and "G Suite for Enterprise". "G Suite for Education" and "G Suite for Nonprofit".

1.4 "Documentation" means the documentation associated with this product which is provided with the installation of the Portal product.

1.5 "Terms of Service " means (1) You may not distribute, resell, rent, lease, sublicense, or otherwise distribute Portal without SBC's permission. (2) Portal has limited, non-exclusive use rights. 3) Reverse engineering, decompiling, and disassembly are prohibited for the purpose of obtaining the source code of this product.

   

1.6 "Use" means the installation of this product in a domain using G Suite and use for the term specified in this agreement.

3. Service License

SBC grants to users a non-exclusive, non-transferable right to use this product as follows

3.1 Installation.

User must be using a G Suite and can install Portal from the G Suite Marketplace through the installation guide.

3.2 Remove

The G Suite administrator may remove this product from the G Suite service at any time for the purpose of expiration, 30 day trial period, or service termination.

3.3 Scope of use.  

Users of G Suite installed within a domain are eligible for use by anyone with a G Suite account within that domain, subject to the terms and conditions of this Agreement.

3.4 User’s Data

The users owns all the data that the user creates. Therefore, the user is responsible for all data generated by the user. This product can create metadata using user generated data. This metadata can only be used for internal system operation and improvement.

3.5 Confidentiality

User’s confidential information means all of user’s business and technical information and must include user’s data. SBC's confidential information refers to services other than user’s data. Confidential Information must not include any public domain (any information other than a violation of this Agreement) received by a third party you have independently developed or otherwise restricted. Except for the affiliates, employees, agents, professional advisors or third party suppliers participating in this Service under this Agreement and those who agree to keep them confidential, we will not disclose Confidential Information. SBC uses user’s confidential information solely to exercise your rights under this Agreement and to fulfill its obligations under reasonable care to keep it confidential.

3.6 30-days trial

The users are free to use for 30 days after installation, and after the end of the 30-days trial period, the service will automatically be terminated if no additional contract for continued use is made.

SBC is not warranted to be final, and may contain errors, bugs, and other issues, including pre-sales or beta software ("Trial Software"), 30-day trial version.

6. Immunity

SBC assumes no responsibility for any liability, damages, lawsuits, or damages incurred while installing and using this product.

7. Payment

If users receiving a free service exceeds the normal usage and SBC pays Google to use the Google App Engine, SBC may charge the user for the usage. In case of cost, we can establish a reasonable price by negotiating with the user with confidence. If users want to continue using the 30-day trial version after finishing the trial, user can use it after paying the fee after setting a reasonable cost in consultation with SBC.

This service is provided on a yearly basis. No refunds for the fees paid can be made.

8. Contract and renewal

8.1 Contract

The Agreement arises from the date user first generates and uses the Service. The Services will continue to be available until the term of this Agreement has expired.

8.2 Renewal

Service renewals are made automatically every year unless the user notifies SBC 30 days before service renewal.

9. Service Termination

The contract may be terminated if the other party is in breach of this Agreement and the breach is not corrected within 30 days of receiving the email or written notice of the breach. The parties may terminate this Agreement by email or written notice. Upon termination of this Agreement, (i). The service license is revoked and the user does not have the right to access the service. (ii). All schedules of the Services will terminate with the termination of this Agreement.

 

10. Technical support and maintenance

Users may receive updates and maintenance unless they use the free service or trial version.

11. Governing Law and Jurisdiction

This "Terms of Service" is governed by the laws of the Republic of Korea, and all legal matters, including lawsuits related to the use of this software, are exclusive jurisdiction to the Seoul District Court of the Republic of Korea.

12. Ownership and Trademarks

(1). SBC reserves all rights in the Software and Services, including those not expressly granted in this Agreement. All copyrights, trademarks, and other software and services and related intellectual property rights are the property of SBC or its licensors and are protected by domestic and international copyright laws. A copy of the Software licensed under this Agreement must include all copyright and other notices contained in the original SOFTWARE.

All trade names, trademarks, service marks, logos, domain names, or other distinctive brand features used or associated with third party products or services ("Third Party Marks") that are made available through the Software or the Service Or the assets of that Licensee. You must not use or have the right to use the Third Party Mark unless such third party provider or such Licensee has given you explicit permission in writing.You must agree to the following: Do not use the trade names, trademarks, service marks, logos, domain names, or other proprietary brand features of companies, organizations or organizations that may cause or cause confusion with the name, trademark, logo or function owner or authorized user is.
